Terms of Service

General

The websites, mobile applications, and related services provided by Lexora (collectively referred to as the "Service") are operated by Inkvi LLC ("Lexora," "we," or "us"). Your access to and use of the Service is governed by these Terms and Conditions of Service ("Terms and Conditions"). By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including any future modifications. Lexora reserves the right to amend, update, or change these Terms and Conditions at any time. If we make changes, we will post a notice on the Websites for at least 7 days indicating that modifications have been made, and we will update the "last revised" date at the bottom of these Terms and Conditions. Any changes will take effect either (i) at the end of the 7-day notice period or (ii) the first time you access or use the Service after the changes are posted, whichever occurs first. If you do not agree to these Terms and Conditions, you are not permitted to use, access, or participate in the Service.

Description of Website and Service

The Service provides users with access to a variety of educational resources, including tools for learning or practicing languages. Lexora reserves the right, at its sole discretion, to update, modify, suspend, improve, or discontinue any aspect of the Service, either temporarily or permanently, at any time.

Acceptable Use of the Services

You are solely responsible for your use of the Services and for any activity that occurs under your account. Our aim is to provide a positive, useful, and secure experience for all users.

Registration

When registering for and using the Service, you agree to the following: (i) provide accurate, current, and complete information about yourself or your organization as requested by Lexora; (ii) maintain the confidentiality of your password and any other security-related information associated with your account; (iii) promptly update any registration information you provide to Lexora to ensure it remains accurate, current, and complete; and (iv) accept full responsibility for all activities that occur under your account and for any actions taken through your account.

Your Representations and Warranties

You represent and warrant to Lexora that your access to and use of the Service will comply with these Terms and Conditions and with all applicable laws, rules, and regulations of the United States and any other relevant jurisdiction. This includes laws related to online conduct, acceptable content, and the transmission of data or information exported from the United States or your country of residence. Additionally, you represent and warrant that you own or have the necessary rights to any material you submit via the Service (including Activity Materials and Content) and that you have the authority to grant Lexora the licenses or rights outlined in these Terms and Conditions.

Submission of Content

By submitting any ratings, reviews, information, data, text, photographs, audio clips, audiovisual works, translations, flashcards, or other materials (collectively referred to as "Content") to the Service, you grant Lexora a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, transferable, and sublicensable license to use, reproduce, copy, adapt, modify, merge, distribute, publicly display, and create derivative works from the Content. This license also allows Lexora to incorporate the Content into other works and to sublicense the Content through multiple tiers. Once your Content is submitted, this license cannot be terminated by you. You confirm that you own or have secured all necessary legal rights for the Content you submit, allowing it to be used by Lexora and others as described in these Terms and Conditions. You understand that other users may have access to your Content and that neither they nor Lexora are obligated to maintain its confidentiality.

In-App Purchases

Automatic Renewal

If you purchase a subscription through the Service that automatically renews on a periodic basis, your Lexora account will be billed continuously until you cancel the subscription as outlined below. After your initial subscription period ends, and again after each subsequent renewal period, your subscription will automatically renew for an additional equivalent period. If you do not want your subscription to renew automatically, or if you wish to change or cancel your subscription, you must log in to your Lexora account and follow the instructions to terminate or modify your subscription. This applies even if you have deleted your account.

Fees and Taxes

You agree to pay all fees and applicable taxes associated with your use of the Service or incurred by anyone using a Lexora account registered to you. Lexora reserves the right to revise the pricing for any goods or services offered through the Service at any time. You must provide accurate, complete, and current information in connection with any purchase, transaction, or monetary interaction with the Service. You are responsible for all charges incurred using your credit card, debit card, or other payment method, and you agree to pay any applicable taxes related to such transactions.

Proprietary Rights

All content available through the Service, including but not limited to designs, text, graphics, images, information, software, audio, and other files, as well as their selection and arrangement (collectively referred to as "Service Content"), is the proprietary property of Lexora or its licensors. You may not modify, copy, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, or sell any Service Content, in whole or in part, except as expressly permitted by these Terms and Conditions. Additionally, you may not use data mining, robots, scraping, or similar data extraction methods to obtain Service Content.

Trademarks

The name "Lexora" and all other trademarks, service marks, graphics, and logos used in connection with the Service are the property of Lexora or their respective owners. Some of these marks are registered with the United States Patent and Trademark Office or other trademark authorities. Your access to and use of the Service does not grant you any right or license to reproduce or otherwise use the Lexora name or any third-party trademarks, service marks, graphics, or logos.

Privacy

Your use of the Service is also governed by our Privacy Policy, which can be found at www.lexora.com/privacy. By using the Service, you agree to the terms outlined in the Privacy Policy.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without regard to any conflict of laws principles, regardless of your country of origin or where you access the Service.

Miscellaneous

These Terms and Conditions constitute the entire agreement between Lexora and you regarding the subject matter herein. If any provision of these Terms and Conditions is found to be unenforceable by a court or other tribunal of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms and Conditions remain in full force and effect. A waiver by Lexora or you of any term, condition, or breach of these Terms and Conditions in one instance does not constitute a waiver of that term, condition, or any subsequent breach.
